Terms of Service

These terms cover your use of MilkDesk. Using the service means you accept them.

Who you are dealing with

MilkDesk is a trading name of JHEN-KE LIN, a sole proprietor in Taiwan. Where these documents say "MilkDesk", "we" or "us", that is who they mean, and that is who your contract for the service is with. You can reach us at support@nycu.ai.

What MilkDesk is

A shared research desk: you put PDFs, notes and diagrams on a canvas, and other people can work on it with you at the same time.

Your account

You sign in with a link sent to your email address. There is no password. Anyone who can read your email can get into your account, so keep it secure. You must be old enough to enter a contract where you live.

Your content stays yours

Everything you put on a desk belongs to you. You give MilkDesk permission to store it and show it to the people you share the desk with. That is all we need to run the service, and we use it for nothing else.

You are responsible for what you upload: only put files on a desk if you have the right to use them that way.

Sharing a desk

A share link works for anyone who has it, including people without an account, unless the desk owner turns guest access off. Treat a share link like a key. Anyone on a desk can edit it, so only invite people you trust with the material.

Fair use

Please do not:

  • upload anything illegal, or anything you have no right to share;
  • use MilkDesk to harass anyone;
  • try to break, overload or work around the limits of the service;
  • resell MilkDesk as your own product.

We can suspend or close an account that does these things. Where it is reasonable, we will tell you why first.

Plans and payment

Paid plans are billed by Paddle, who act as the merchant of record. Your contract for the payment itself is with them, and their terms apply to it. Plans renew automatically until you cancel. You can cancel at any time; your plan then runs to the end of the period you already paid for. If a payment fails, we may move your account back to the free plan.

We can change prices. If a change affects a plan you are already paying for, it applies from your next renewal, not the current period.

Cancelling and refunds are set out in full in our refund and cancellation policy, which forms part of these terms.

The service is provided as it is

We work to keep MilkDesk running and your desks intact, but we do not promise that it will always be available, error free, or that it will keep every piece of data forever. We give no warranties beyond those the law requires and cannot waive.

Keep your own copies of anything you cannot afford to lose. MilkDesk is a place to work with your material, not a backup for it.

Limits on what we owe you

As far as the law allows, MilkDesk is not liable for lost data, lost profits, lost time, or any indirect or consequential loss arising from your use of the service. Where we are liable anyway, our total liability is limited to the amount you paid us in the twelve months before the claim, or nothing at all if you are on the free plan.

Nothing in these terms limits liability that cannot legally be limited, such as for death, personal injury or fraud.

Ending it

You can stop using MilkDesk whenever you like and delete your desks. We may discontinue the service or close inactive accounts; if we shut MilkDesk down, we will give reasonable notice so you can take your material with you.

Changes to these terms

We may update these terms. The date at the top changes when we do. If a change matters to you, continuing to use MilkDesk after it takes effect means you accept it.

Law

These terms are governed by the laws of Taiwan, without affecting any consumer rights you have where you live.
